Anodos LLC Terms & Conditions

Please read these Terms & Conditions carefully as they form a legally binding contract between you and us.

These terms of service (the “Terms”) govern your (“you” or “your”) use of the services provided by Anodos LLC ("Anodos"), doing business as Anodos, including https://anodosfund.com/ (the “Website”) and any of its other platforms, websites or apps, and your account (collectively, the “services”), and creates a binding contract between you and Anodos LLC with registered address of 30 N Gould St Ste N Sheridan, WY 82801.

1. Acceptance of Terms

By accessing or using our website and our services,  you agree to these Terms. If you do not agree to these Terms, please do not use our services and platforms. You also confirm that you are at least 18 years of age or the legal age of majority in your jurisdiction and are capable of entering into a binding contract. It is your responsibility to ensure that the country from which you access our services is not a restricted country and we encourage you to seek legal advice before using our services.

Anodos reserves the right to change, modify, or revise these Terms at any time. Such changes will become effective upon posting on our website. Your continued use of our services following the posting of changes constitutes your acceptance of those changes.

4. No fiduciary relationship

You expressly acknowledge and agree that we are not your broker, underwriter advisor, intermediary or agent, and have we no fiduciary relationship or obligation to you regarding any decisions, actions or activities that you effect, make or undertake when using our services. Neither our communications, nor any information or content that we provide or make available to you, is intended as, or shall be considered or construed as financial, legal or any other advice.

5. Use of our services and disclaimers

a. You agree to use our services solely for lawful investment purposes and in accordance with these Terms and any applicable laws and regulations. By carrying out transactions in or in connection with Anodos you warrant that you are authorised to enter into the relevant transactions and that you are acting in compliance with applicable law and regulation.

b. You understand that investment in cryptocurrencies and blockchain-based assets carries risks, and you accept full responsibility for these risks. You should be aware that the risk of loss in trading or holding derivatives or cryptocurrencies can be very high. You should carefully consider whether trading or holding derivatives or cryptocurrencies is suitable for your financial position and investment objectives. Anodos and its services facilitate investments in various cryptocurrencues or digital assets and portfolios using third-party decentralized protocols. Anodos and its services do not provide financial, investment, or legal advice. You acknowledge that all investments are subject to market fluctuations, and past performance is not indicative of future results. Anodos does not provide any investment, legal or tax advice and does not assume any liability to third parties with respect to the provision of advice or your transactions in and in connection with our website, services and platforms. Anodos LLC or any of its affiliated companies are  not counterparties of any services provided. Moreover, Anodos does not provide any intermediary services in relation to such transactions and, specifically, does not act as broker, advisor, exchange, trading venue, clearer or custodian for any party. All transactions in or in connection with Anodos, Anodos Fund, Anodos Finance and all our services are carried out using smart contracts and decentralized protocols. This means that parties to the relevant transactions deal directly with each other without Anodos’ involvement. Accordingly, the activities relating to Anodos and all the services are not subject to any regulatory licences, permissions or authorisations. Specfically, Anodos Fund is a copy-trading platform where users decide to follow different portfolios and traders in a decentralized way. Any transactions in or in connection with Anodos will not be within the scope of any investor compensation scheme or any complaints or ombudsman service. For the Avoidance of Doubt if you are: - a US person (as defined in the Securities Act of 1933, as amended); or - a citizen or resident of Canada; or - a citizen or resident of Japan; or - a member of currently, sanctioned OFAC countries including the Balkans, Belarus, Burma, Cote D'Ivoire (Ivory Coast), Cuba, Democratic Republic of Congo, Iran, Iraq, Liberia, North Korea, Sudan, Syria, and Zimbabwe; then you are not allowed access to our website and services. It is your own responsibility to ensure that. All transactions are done via smart contracts and decentralized protocols and users assume the risk of meeting local legal obligations as it pertains to counterparties in the country the user resides. Anodos does not offer advisory, direct trade execution or direct clearing services. It has no oversight, involvement, or control with respect to the transactions you may enter into with counterparties through our services. Anodos will never act as an advisor, broker, consultant, a direct derivatives counterparty, a direct clearing agent or a direct custodian of customer funds. By accepting this disclaimer you are acknowledging the risks involved in trading cryptocurrencies, cryptocurrency options, and futures markets and are also acknowledging that you, the user, and not Anodos or the services, are solely responsible for any losses, financial or otherwise, as a result of using these services. Anodos shall under no circumstances be liable for any lost profits, lost opportunities, misstatements, or errors contained within these pages. You also agree that Anodos will not be held liable for data accuracy, server problems, or any special or consequential damages that result from the use of, or the inability to use, any or all of the materials published on this website. You agree to hold Anodos harmless for any act resulting directly or indirectly from this site, its data, content, materials, associated pages and documents. The information in this document and all related Anodos documents and any and all information on anodosfund.com and anodos.finance is for information purposes only and does not constitute financial or other advice or an inducement to purchase or sell any service or security (however defined under applicable law). Anodos makes no warranties of any kind in relation to its content and services, including but not limited to accuracy, security, integrity and (financial or operational) performance of instruments and investments. Any use of and its features and functionalities are solely at your own risk and discretion. You should always conduct your own research, review, analysis and verify the content of services before relying on or using them. 

6. Licenses and Intellectual Property

All content on Anodos and our services, including text, graphics, logos, and software, is the property of Anodos and is protected by intellectual property laws. You may not use, modify, reproduce, or distribute any content from Anodos without prior written consent from Anodos. Throughout our relationship with you, we retain ownership and/or control, as appropriate, of the Services and all intellectual property rights therein, including all copyrights, trademarks, domains, logos, trade secrets, patents, and other intellectual property rights that have existed, do, may or will exist in the future ("Intellectual Property"). You may not use our Intellectual Property unless permitted under these Terms or with our express written consent (which you can seek by contacting us using the contact details above).

7. Limitation of Liability

a. Anodos provides the services "as is" and "as available." We make no representations or warranties regarding the availability, accuracy, or reliability of our services.

b. Anodos will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our services.

c. No warranty is given that any information or content provided or made available by us is accurate, up to date, complete, or useful, that the Services will be operational, free from errors, secure, safe, or that the Services will function without disruptions, delays or imperfections.

d. No warranty is given regarding the availability or uninterrupted use of the Services. From time to time, access may be interrupted, suspended or restricted, including because of a fault, error or unforeseen circumstances or because we are carrying out planned maintenance.

e. Anodos does not control, and are not responsible for controlling, how or when our users use our Services.

f. Anodos is not responsible for and is not obligated to control the actions or information (including content) of our users or other third parties. The forgoing disclaimers will apply to the fullest extent permitted by applicable law.

g. Unless expressly stated otherwise in these Terms, Anodos, our affiliates, subsidiaries, directors, employees, partners and agents (together the "Anodos Group") will not be held liable to you, whether in contract (including under any indemnity), tort (including negligence), under statute or otherwise, under or in connection with these Terms, your activities under your Account, your use of the Services, and/or our provision of the Services, for any:
• consequential, indirect or special losses or damages; loss of profits, loss of business or loss of business opportunity;
• losses incurred as a result of abnormal or unforeseeable circumstances outside our reasonable control, including delays or failures caused by problems of another system or network, mechanical breakdown, industrial action or a pandemic;
• losses incurred as a result of unauthorised access or use of your Account;
• losses incurred where a law, or guidance or instruction from an governmental authority, requires us to take action, for example to terminate these Terms and cease providing you access to the Services; or
• any other loss or damage to the extent that such loss or damage is caused or contributed to by you, or is a result of the failure by you to comply with these Terms. For any other losses or damages for which we are found liable, the Anodos Group’s aggregate liability towards you for all claims during our relationship with you shall not exceed EUR 100. The forgoing exclusions and cap of liability will each apply to the fullest extent permitted by applicable law.

8. Indemnification

You agree to indemnify and hold Anodos Fund, its employees, agents, and affiliates harmless from any claims, liabilities, and expenses arising out of your use of Anodos and our services or your violation of these Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Wyoming.
